Before ordering a service
Please read these terms together with the quotation or invoice for your service. If there is a conflict, the specific written term in the quotation or contract prevails only for that conflicting item.
01
Scope and acceptance
These terms apply to services and orders that reference them or are expressly accepted by the client. Depending on the order, this may include websites, ecommerce and platform development, mobile apps, branding, digital marketing, SEO, domains, hosting, technical support and related services. The approved quotation, statement of work or invoice defines the commercial and technical scope of each engagement and supplements these terms unless expressly stated otherwise.
02
Quotations, pricing and payment
Pricing and timelines in quotations are based on the agreed scope and information available when issued. Work begins after the agreed payment condition is met and the client supplies required information and approvals. Out-of-scope requests may require additional fees and delivery time. Fees relating to work already started or resources procured for the client may be non-refundable to the extent permitted by law and the applicable agreement.
03
Project delivery and revisions
The client must provide content, data, access and usage rights on time, review deliverables and submit consolidated feedback. Delays in content, approvals or technical access may affect the schedule. Revision rounds are governed by the quotation or package, and redesigns or new functionality requested after an approved stage may be treated as a scope change.
04
Websites, ecommerce, apps and systems
We implement and test the agreed functionality in an appropriate environment before handover. Third-party integrations, payment gateways and APIs also depend on their providers, terms and availability. We cannot guarantee the continued operation of a third-party API, plugin or service if its provider changes pricing, policies or availability. Paid licences and third-party plans are governed by the quotation.
05
Hosting, resources and fair use
Hosting is provided according to the resources and specifications stated in the plan or quotation and is subject to fair-use, security and infrastructure stability requirements. The client must not use the service for unlawful activity, spam, malicious files or conduct that endangers the server or other customers. We may take reasonable protective action, including restriction or temporary suspension, where there is a security threat or abuse, with notice where reasonably possible.
06
KEY HOSTING & MIGRATION CLAUSE Hosting transfer and data deletion
When the client requests migration of a website, hosting account, email or other data to another provider, First Marketing will, within the agreed service scope, provide or make available a copy of the data then available or perform the migration. The client is responsible for checking that files, databases and email (where included) are complete and that the website works with the new provider before confirming termination. Once the client confirms receipt, the migration is completed, or the hosting service is cancelled/expired at the client's request, First Marketing's responsibility to retain the data on active systems ends, and the account, files, databases, mailboxes and related configuration may be deleted from active servers. Any residual scheduled backups, if they exist, are removed automatically when the technical retention cycle expires and are not a permanent archive or guaranteed recovery copy. After termination, the company is not obliged to reproduce the files unless a recoverable copy is still technically available; any later recovery attempt is best-effort, may incur a separate fee, and is not guaranteed.
07
Backups and restoration
A backup system does not replace the client's responsibility to keep an independent copy of critical data, especially before major updates, migrations or termination. Backup frequency and retention vary by plan and infrastructure. Restoration can only use backups that are technically available when requested, and a specific restore point is not guaranteed unless a dedicated backup service is separately agreed.
08
Domains, renewal and transfer
Domain registration, renewal and transfer are also subject to the registrar/registry policies and domain availability. The client is responsible for accurate registrant/contact information and timely renewal where auto-renew is disabled or cannot be completed. Some fees, restrictions and waiting periods are imposed by registrars or registries and are outside First Marketing's control.
09
Digital marketing and SEO
The company will perform the agreed strategy and activities, but advertising, sales and search-ranking outcomes depend on factors outside our control, including competition, budget, platforms, audience behaviour and algorithm updates. Specific sales or ranking outcomes are therefore not guaranteed unless expressly stated as a measurable written commitment in the agreement.
10
Design, branding and ownership
After agreed fees are paid, the client receives the agreed usage rights to final deliverables created specifically for the project, subject to the quotation. Tools, frameworks, stock assets, fonts and third-party licensed materials remain governed by their original licences. Editable source files are provided only when the package or quotation expressly includes them.
11
Technical support and maintenance
Support covers what is included in the package or post-delivery support period. Incidents caused by client or third-party changes, external updates, unapproved software, or compromised credentials shared by the client may require paid additional work. Response times depend on service level and priority and do not necessarily equal final resolution time.
12
Suspension and termination
Services may be suspended for overdue payment, legal/security violations or clear abuse, with reasonable notice where possible. On termination, outstanding amounts are settled and the data handover/deletion rules in the hosting and migration clause apply. Third-party services or licences remain subject to their providers' policies.
13
Liability and third-party services
Services are provided with reasonable professional care. To the extent permitted by law, the company is not responsible for indirect losses, lost profits or business interruption primarily caused by third-party services, platforms or infrastructure outside its control. Any direct liability is assessed under the applicable agreement and law, the service involved and proven loss.
14
Confidentiality and data
Credentials and business information supplied by the client are treated as information required to deliver the service and access is limited to those who need it for the work. Clients should avoid sending sensitive passwords through insecure channels where a safer method is available. Personal-data processing is also governed by the Privacy Policy and applicable legal obligations.
15
Updates and effective date
These terms may be updated as services, operating requirements or legal obligations evolve. The published version applies from its effective date to new orders and subsequent renewals that reference or accept it, unless applicable law requires otherwise. A later version is not intended to retroactively change a prior dispute governed by a different agreement or terms accepted at the time.
This page is an operational service framework and does not exclude mandatory rights or obligations imposed by applicable law or a specific signed agreement between the parties.
